Terms of Service
These terms are the agreement between you and SukiPlus for using our POS and payments service. Please read them before you sign up.
Acceptance of these terms
By creating a SukiPlus account or using the app or website, you agree to these Terms of Service, our Privacy Policy and the User Agreement. If you use SukiPlus for a business, you confirm you have authority to bind that business. If you do not agree, do not use SukiPlus.
The service
SukiPlus is a mobile point-of-sale service that includes sales, inventory, receipts, reports, staff roles, branch management and acceptance of QR Ph payments through your own PayMongo merchant account. Features and limits depend on your plan.
Eligibility and accounts
- You must be at least 18 and able to enter a binding contract.
- You must give accurate information and keep it up to date.
- You are responsible for all activity under your account, including activity by staff you authorize, and for keeping credentials, PINs and devices secure.
- Tell us promptly at hello@sukiplus.app if you suspect unauthorized access.
Plans and billing
- Starter is free. Paid plans are billed monthly in Philippine pesos at the prices shown on our pricing page when you subscribe.
- Prices may exclude applicable taxes. We will give notice before changing the price of a plan, and the change applies from your next billing period.
- You can cancel any time. Your plan stays active until the end of the paid period. Refunds: [your refund policy].
- If a payment fails or you exceed your plan’s limits, we may restrict features until you fix it or upgrade.
Payments and PayMongo
SukiPlus is not a bank, e-money issuer or payment processor, and it does not hold your funds. QR Ph and other payments are processed by PayMongo under your own agreement with them, and settle directly to your PayMongo merchant account.
- You must complete PayMongo’s verification and follow its terms.
- PayMongo’s fees, settlement schedules, holds, reserves, refunds and chargebacks are between you and PayMongo. Fee and settlement figures shown in SukiPlus are informational and you should confirm them against your PayMongo records.
- We are not responsible for delays, failures or account actions by PayMongo, banks or e-wallet providers.
Your responsibilities as a merchant
- You are responsible for the prices, products, refunds and customer relationships in your business.
- You are responsible for your own tax registration, tax filings and invoicing obligations. Receipts produced by SukiPlus may not by themselves meet Bureau of Internal Revenue requirements, so confirm what applies to you.
- You must comply with all laws that apply to your business, including consumer protection and data privacy laws.
Acceptable use
You will not:
- use SukiPlus for illegal, fraudulent or deceptive activity, or to sell prohibited goods or services;
- attempt to access accounts or data that are not yours, or interfere with or disrupt the service;
- reverse engineer, copy or resell the app except as the law allows;
- exceed plan limits by sharing accounts or devices in ways the plan does not allow.
Your data and our software
You own the business data you put into SukiPlus. You give us a limited licence to host, process and display it only to provide and secure the service. SukiPlus, its software, design and branding belong to us and our licensors. If you send us feedback, we may use it without obligation to you.
Availability and changes
We aim to keep SukiPlus available but do not promise uninterrupted or error-free service. We may maintain, update, change or discontinue features. We rely on third parties such as PayMongo, mobile networks and hosting providers, whose outages may affect you.
Disclaimers
SukiPlus is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, including fitness for a particular purpose and non-infringement. Reports and analytics are tools to help you and are not accounting, tax or legal advice.
Limitation of liability
To the fullest extent the law allows, SukiPlus will not be liable for indirect, incidental, special or consequential damages, or for lost profits, sales or data. Our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim arose, or [amount] if you are on the free plan. Nothing here limits liability that cannot be limited by law.
Indemnity
You will defend and compensate us against claims and losses arising from your breach of these terms, your violation of law, or your dealings with your customers, except to the extent we caused them.
Suspension and termination
You may stop using SukiPlus at any time. We may suspend or end your access if you breach these terms, create risk or legal exposure, or stop paying. Before termination takes effect we will, where practical, give you time to export your sales and reports to CSV. Sections that by nature should survive termination will survive.
Governing law and disputes
These terms are governed by the laws of the Republic of the Philippines. Please contact us first so we can try to resolve a dispute in good faith. If we cannot, disputes will be brought in the courts of [city, e.g. Makati City], Philippines.
Changes to these terms
We may update these terms. We will post the new version with a new date and tell you in the app or by email if the changes are significant. Continuing to use SukiPlus after the effective date means you accept them.
